Don't know about the mechanics of doing a swap, but the cam sprocket on the 3.5 changed from '97 to '98 and again in '02. So, make sure the slots in the cam sprocket are in the right sequence, or you'll have a no start unless cam sensor is unplugged. Les Login to read more.
