finally fixed this one, found shorted wiring in the harness above the trans. that goes to the CKP and the LDP. The insulation in the wiring had melted together and shorted the battery power to the sensor ground circut.

Thanks for all the replies. I did as some recommeneded and watched the O2's on a graph with the MODIS. Sure enough when the vehicle started to act up the O2 went dead rich and the computer tried to lean it out to compensate. We replaced the O2 and all is well....
